LunaPhone.AI Terms of Service

1. Introduction
Welcome to LunaPhone.AI. These Terms of Service ("Terms") govern your use of our AI receptionist services provided by LunaPhone.AI LLC ("LunaPhone," "we," "us," or "our").
By subscribing to or using our services, you ("Client," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not use our services.
2. Services
LunaPhone.AI provides AI-powered receptionist services for healthcare practices and other businesses. Our services include:
• Automated call answering using artificial intelligence
• Appointment scheduling and calendar integration
• Message taking and notification delivery
• SMS and email notifications to practice staff
• Call transfer and routing capabilities
3. Subscription and Payment
3.1 Fees
Service fees are based on your selected plan as outlined in your service agreement. Fees are billed monthly in advance unless otherwise agreed upon in writing.
3.2 Payment Terms
Payment is due upon receipt of invoice. We accept major credit cards and ACH transfers. Late payments may result in service suspension and may incur late fees of 1.5% per month.
3.3 Refunds
Monthly subscription fees are non-refundable. If you cancel mid-month, service will continue until the end of the billing period.
4. Term and Termination
4.1 Term
Services are provided on a month-to-month basis unless otherwise specified in your service agreement.
4.2 Termination
Either party may terminate this agreement with 30 days written notice. Upon termination, we will assist with transitioning your phone number back to your control within 5 business days of request.
4.3 Effect of Termination
Upon termination, your access to our services will cease. We will retain call data for 90 days following termination, after which it will be deleted unless legally required to retain.
5. Client Responsibilities
You agree to:
• Provide accurate and complete information for service setup
• Keep your account information and contact details up to date
• Use our services in compliance with all applicable laws and regulations
• Ensure your use complies with HIPAA and other healthcare regulations (if applicable)
• Not use our services for any unlawful or fraudulent purpose
• Promptly notify us of any security concerns or unauthorized access
6. HIPAA and Healthcare Compliance
For healthcare clients, we acknowledge that patient information may be considered Protected Health Information (PHI) under HIPAA. We agree to:
• Enter into a Business Associate Agreement (BAA) upon request
• Implement appropriate safeguards to protect PHI
• Report any security incidents involving PHI
• Use HIPAA-compliant infrastructure (Microsoft Azure)
7. Intellectual Property
All intellectual property rights in our services, including software, AI models, and documentation, remain the exclusive property of LunaPhone.AI LLC. You are granted a limited, non-exclusive license to use our services during your subscription term.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
• Our total liability for any claims arising from these Terms or our services shall not exceed the fees paid by you in the 12 months preceding the claim.
• We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data.
• We do not guarantee that our services will be error-free or uninterrupted.
9. Disclaimer of Warranties
OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Indemnification
You agree to indemnify and hold harmless LunaPhone.AI LLC, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from your use of our services or violation of these Terms.
11. Service Level
We strive to maintain 99.9% service uptime. However, we are not liable for service interruptions due to:
• Scheduled maintenance (with advance notice when possible)
• Third-party service outages (telephony providers, cloud infrastructure)
• Force majeure events
• Client-side issues (network connectivity, phone system configuration)
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email at least 30 days before taking effect. Continued use of our services after changes become effective constitutes acceptance of the modified Terms.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Illinois, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Cook County, Illinois.
14. Entire Agreement
These Terms, together with any service agreement and Business Associate Agreement (if applicable), constitute the entire agreement between you and LunaPhone.AI LLC regarding our services and supersede all prior agreements and understandings.
